24.01.050 Territorial Application of the Code; Parties' Power to Choose Applicable Law

(a) Except as provided hereafter in this section, when a transaction bears a reasonable relation to the territorial jurisdiction of the Tribe and also to another jurisdiction, state or nation the parties may agree that the law either of the Tribe or of such other jurisdiction, state or nation shall govern their rights and duties. Failing such agreement this Code applies to transactions bearing an appropriate relation to the territorial jurisdiction of the Tribe.

(b) Where one of the following provisions of this Code specifies the applicable law, that provision governs and a contrary agreement is effective only to the extent permitted by the law (including the conflict of laws rules) so specified:

Rights of creditors against sold goods. Section 24.02.020

Applicability of the article on leases, Section 24.09.040 and Section 24.08.060.

Applicability of the articles on bank deposits and collections, Chapter 24.20.

Governing law in the Chapter on funds transfers, Section 24.09.070.

Applicability of the Chapters on investment securities, Chapter 24.38.

Perfection provisions of the chapter on secured transactions, Chapter 24.24.
